CONDIZIONI DI UTILIZZO (online)

La Piattaforma BMS è di proprietà esclusiva di Mapo Tapo S.r.l., con sede legale in Milano, 20123, Via Borromei 2, P.IVA 11336700965 (nel seguito, Mapo Tapo). Le Condizioni di Utilizzo devono essere considerate congiuntamente con l'Informativa sulla Privacy.

La Piattaforma BMS fornisce uno spazio online a disposizione delle Guide raggiungibile presso il nome a dominio https://app.mapotapo.com ed eventuali sottodomini. Le presenti condizioni di utilizzo (di seguito, CU o Condizioni di Utilizzo), definiscono il Servizio offerto dalle Guide per la prenotazione di escursioni sportive outdoor (come arrampicata, mountain bike, hiking, nel seguito, Esperienza) agli utenti, come infra definiti. 

In caso di disaccordo rispetto a qualsiasi termine o condizione o successive modifiche delle stesse, ovvero nel caso di insoddisfazione per i Servizi offerti dalle Guide, l’Utente (come infra descritto) ha la facoltà, rispettivamente, di non accettare le presenti Condizioni di Utilizzo e rinunciare all’impiego dei Servizi offerti dalla Piattaforma ovvero interrompere immediatamente l'uso della Piattaforma di Mapo Tapo. 

1. Definizioni

Contenuti:(i) file contenenti testi, immagini, registrazioni audio e/o video, dati e/o informazioni organizzati in banca di dati e comunque tutti i file, documenti e/o informazioni in qualsiasi formato riguardanti l’Utente e che le Guide rendono disponibili attraverso la Piattaforma BMS o i Servizi, incluso qualsiasi Contenuto concesso in licenza da una terza parte; (ii) file e/o link contenenti testi, immagini, registrazioni audio e/o video, dati e/o informazioni organizzati in banca dati e comunque tutti i file, documenti e/o informazioni in qualsiasi formato vengono trasmessi, copiati, inviati, messi a disposizione degli Utenti della Piattaforma BMS e dei Servizi. Sono ricompresi in particolare in questa definizione tutte le immagini, video e materiale digitale di qualunque sorta che rappresenti e/o riproduca l’Utente durante l’Esperienza e lo svolgimento delle attività in questo previste. 

Condizioni di Utilizzo: quanto disposto nel presente documento.

Dati personali: tutte le informazioni personali relative a ciascun Utente, inclusi il nome della persona, l’indirizzo, numero di telefono e il codice fiscale, eventualmente raccolte tramite la Piattaforma BMS.

Prezzo: somma corrisposta dall’Utente alle Guide per l’acquisto dell’Esperienza.

Deposito: ammontare richiesto dalle Guide per la prenotazione dell’Esperienza, qualora le Guide optino per il pagamento in modalità frazionata.

Saldo restante: importo residuo dopo la corresponsione del Deposito

Piattaforma BMS: il dominio https://app.mapotapo.com, inclusi gli eventuali sottodomini, qualsiasi URL o loro porzioni.

Utente: tutte le persone fisiche o giuridiche che accedono alla Piattaforma BMS.

Esperienza: attività organizzata dalle Guide e messa a disposizione tramite la Piattaforma BMS di Mapo Tapo, inclusiva delle sole attività gestite dalla Guida e senza alcun elemento aggiuntivo (a titolo esemplificativo e non esaustivo: alloggio, pasti, trasporto)così come descritte nel Link generato e inviato dalla Guida all’Utente.

Viaggio: viaggio organizzato dalle Guide con la direzione tecnica di Mapo Tapo e messo a disposizione (ex Art. 33 e 34, D. lds. 23 maggio 2011, n.79) sul sito www.mapotapo.com,  dal quale l’Utente potrà acquistare la proposta offerta. L’utente sarà pertanto soggetto ai termini e alle condizioni del sito www.mapotapo.com disponibili al seguente indirizzo: https://www.mapotapo.com/terms-and-conditions-of-use. 

Link di prenotazione: link generato dalla Guida tramite la Piattaforma BMS ed inviato dalla Guida stessa all’Utente per la prenotazione e il pagamento dell’Esperienza. 

Guida: qualunque soggetto professionale, in possesso di certificazione che lo abiliti alla professione di guida, che offre in vendita Esperienze in modo diretto. 

Servizio: l’attività svolta dalla Piattaforma BMS di Mapo Tapo con cui si consente alle Guide di creare e vendere le Esperienze agli Utenti. Il Servizio consiste unicamente nella fornitura di tecnologia (i.e. della Piattaforma BMS) e in nessun caso esso potrà essere ricondotto alla intermediazione di pacchetti turistici e/o esperienze di cui al D. Lgs. 2011, n. 79. 

1.2 A seconda del contesto, il significato di un termine usato al singolare comprende il plurale, quello di un termine usato al maschile comprende il femminile, e viceversa.

2. Descrizione della Piattaforma

2.1 La Piattaforma BMS è un Servizio offerto da Mapo Tapo con lo scopo di permettere alle Guide di creare e diffondere le proprie Esperienze. Tramite il Link di prenotazione, gli Utenti hanno la possibilità di conoscere, prenotare ed acquistare le Esperienze messe a disposizione dalle Guide, sia in Italia che all’estero, per lo svolgimento di attività ricreative e sportive quali, a titolo esemplificativo, escursionismo o arrampicata. Gli Utenti potranno prenotare le Esperienze conferendo i propri dati identificativi e per la fatturazione tramite il Link. Resta inteso che sia Mapo Tapo che le Guide non hanno alcun controllo sulla condotta degli Utenti relativamente al Link di prenotazione ed è quindi esclusa ogni responsabilità di Mapo Tapo e delle Guide in tal senso nei limiti massimi consentiti dalla legge.

3. Privacy

L'Utente dichiara di avere preso visione della Informativa sulla Privacy della Piattaforma BMS di Mapo Tapo, disponibile all'indirizzo www.mapotapo.com/privacy-policy-BMS-Platform come modificata di volta in volta; tale Informativa disciplina l'acquisizione e l'utilizzo da parte di Mapo Tapo dei Dati personali delle Guide e degli Utenti. 

4. Diritti e doveri degli Utenti

Sarà cura dell’Utente accertarsi che le informazioni e la documentazione fornite in fase di prenotazione tramite il Link fornito dalla Guida siano, di volta in volta, aggiornate, non scadute e in qualunque caso idonee ai fini della prenotazione dell’Esperienza. Qualora all’Utente venga vietato di prendere parte all’Esperienza a causa della mancanza, anche solo in parte, e/o non idoneità della suddetta documentazione, la Guida e Mapo Tapo non ne saranno responsabili dovendosi escludere qualunque obbligo di rimborso del Prezzo ovvero di un indennizzo a qualunque titolo. 

Nella compilazione dei form predisposti nel Link di prenotazione inviato all’Utente, questo indicherà anche un indirizzo e-mail e un numero di telefono che consentiranno l’identificazione dell’Utente, quale soggetto a cui riferire l’attività o i servizi di cui esso intende usufruire.

L’Utente si impegna a non fornire alcuna informazione errata o falsa. In ogni caso, Mapo Tapo e/o le Guide non potranno  essere ritenuti responsabili dell’erroneità o della falsità, incolpevole, colpevole o dolosa, delle informazioni comunicate dagli Utenti. 

4.1 L’Utente è tenuto al rispetto delle presenti CU, di ogni avvertenza e documento riportati e caricati sulle pagine della Piattaforma BMS e su eventuali siti citati all’interno del Link e qualunque altro obbligo derivante dalla normativa vigente, oltre a mantenere in ogni momento una condotta attenta e responsabile in particolare con riferimento alla pratica di sport pericolosi.

4.2 L’Utente, accettando i presenti Termini e Condizioni accetta altresì che eventuali reclami o richieste di rimborso per le Esperienze saranno gestite esclusivamente dalla Guida secondo i termini e le condizioni comunicate nel Link di prenotazione dalle Guide stesse escludendo pertanto qualsivoglia tipo di responsabilità o di coinvolgimento da parte di Mapo Tapo. 

5. Prenotazioni

In seguito alla ricezione del Link di prenotazione, l’Utente stesso può procedere alla prenotazione e all’acquisto dell’Esperienza inserendo i dati richiesti e scegliendo il metodo di pagamento (Carta di credito o di debito, bonifico (addebito SEPA), contanti) tra quelli proposti dalla Guida e secondo le modalità dalla stessa definite (pagamento dell’intero Prezzo o del Deposito).

L’Utente può inserire nel form al Link di prenotazione anche i dati di altri partecipanti all’Esperienza. Gli Utenti dichiarano di essere autorizzati all’inserimento dei dati degli altri partecipanti e sono responsabili delle informazioni inserite.L’Utente e gli eventuali ulteriori partecipanti di cui i dati vengono inseriti  dall’Utente riceveranno una e-mail di conferma della prenotazione  contenente i dati essenziali dell’Esperienza prenotata e un Link per visualizzare i dati relativi all’Esperienza. Resta inteso che fino al momento in cui l’Utente non riceve la suddetta email di conferma, la Guida e Mapo Tapo non potranno in alcun modo essere ritenuti responsabili per alcun eventuale costo sostenuto dall’Utente. 

L’Utente ha la possibilità di prenotare una sola Esperienza per volta offerta tramite la Piattaforma BMS. Pertanto, data la natura dell’Esperienza/e non sarà possibile effettuare un’unica Prenotazione che abbia ad oggetto diverse Esperienze. Resta inteso altresì che la singola Esperienza non potrà costituire un “pacchetto”.

Prima dell’acquisto dell’Esperienza, l’Utente è obbligato a dare conferma di aver preso visione delle presenti CU e della Informativa sulla Privacy della Piattaforma BMS, che dichiara esplicitamente di approvare. 

Resta inoltre inteso che, in considerazione della situazione epidemiologica legata al Covid, la Guida si riserva di chiedere ogni adempimento richiesto dagli sviluppi della normativa vigente.

Prima che l’Utente concluda il procedimento di prenotazione e, quindi, sia conseguentemente vincolato, riceverà tutte le necessarie informazioni relative all’Esperienza potendosi interfacciare con la Guida di cui riceve il contatto telefonico e-mail nel Link di prenotazione.

La Guida ha in ogni caso la facoltà di confermare o meno l’Esperienza entro i tempi da lei stessa definiti; in caso di cancellazione dell’Esperienza, la Guida invierà una email all’Utente e agli eventuali altri partecipanti attraverso la Piattaforma BMS. L’email contiene i contatti della Guida a cui fare riferimento per l’eventuale rimborso.

Resta inteso che la prenotazione dei Viaggi organizzati dalle Guide sotto la direzione tecnica di Mapo Tapo avviene sul sito di Mapo Tapo al seguente indirizzo https://www.mapotapo.com ed è soggetta ai seguenti termini e condizioni: https://www.mapotapo.com/terms-and-conditions-of-use

6. Recesso 

In conformità alla Direttiva 2011/83/UE e all’art. 52 del D. Lgs. 2005, n. 206 (nel seguito, Codice del Consumo) l’Utente che acquisti un prodotto o un servizio a distanza e fuori dai locali commerciali del professionista, ha il diritto di recedere entro 14 giorni dal momento della conclusione del contratto ricevendone il totale rimborso. Tuttavia, dal momento che il rapporto instauratosi tra gli Utenti e le Guide rientra nell'ambito di applicazione della disciplina concernente il Codice Turismo, tale circostanza costituisce una ipotesi di esclusione di applicazione del diritto di recesso così come previsto ai sensi dell’art. 47, co 1 lett. g) del Codice del Consumo.

In caso di cancellazione della prenotazione da parte dell’Utente, l’eventuale rimborso dovuto dall’Utente alla Guida per le spese sostenute e il rimborso all’Utente dell’Esperienza non fruita sono regolati direttamente da accordi tra la Guida e l’Utente. 

7. Il Servizio

Mapo Tapo fornisce alle Guide il servizio della Piattaforma BMS mediante cui esse possono offrire all’Utente esperienze tramite Link di prenotazione indirizzabili anche al singolo utente. Il link di prenotazione ha una durata determinata in base alla data d’inizio dell’Esperienza e/o al raggiungimento del numero massimo di posti disponibili.

Resta inteso che Mapo Tapo mette a disposizione delle Guide la Piattaforma BMS al solo fine di informare e comunicare agli Utenti le Esperienze organizzate e messe a disposizione dalle Guide, che quindi, rimangono l’unica parte nel rapporto concluso con l’Utente viaggiatore.

Resta inteso che le Guide hanno a cuore la salute e l’incolumità dei propri Utenti. Pertanto, ogni Esperienza messa a disposizione sulla Piattaforma BMS è organizzata nel massimo rispetto delle norme di sicurezza. 

Ogni aspetto del rapporto tra l’Utente e la Guida è riconducibile esclusivamente a quest’ultima esonerando totalmente Mapo Tapo da ogni tipo di onere e responsabilità di qualsivoglia natura nei confronti dell’Utente.

Mapo Tapo, pertanto, è estraneo al rapporto instauratosi tra l’Utente, la Guida e i gestori e/o responsabili locali dell’Esperienza o di parte di essa. Concordemente, Mapo Tapo declina ogni responsabilità, nella massima misura consentita dalla legge, per danni e infortuni di ogni genere ed entità che dovessero occorrere ad uno o più Utenti e loro compagni di viaggio per qualunque motivo, sia esso connesso o meno alla fruizione dell’Esperienza. In tali occasioni, pertanto, l’Utente avrà facoltà di riferirsi unicamente, a seconda dei casi, alla Guida e/o ai responsabili locali. 

8. Pagamenti

Mapo Tapo mette a disposizione delle Guide la Piattaforma BMS, mediante la quale l’Utente può venire a conoscenza e, se del caso, ricevere il Link per prenotare e acquistare una Esperienza organizzata dalla Guida al Prezzo prestabilito. Pertanto, l’Utente non ha la possibilità di personalizzare la propria Esperienza e determinarne il Prezzo di conseguenza. Resta inteso che la Guida espone sulla Piattaforma il Prezzo di ogni singola Esperienza in maniera chiara e precisa, mantenendolo sempre aggiornato e indicando tutte le specifiche.

Il Prezzo viene indicato nel Link di prenotazione in relazione ad ogni Esperienza e al momento di check-out durante l’acquisto dell’Esperienza. Qualora il Prezzo dovesse subire una variazione imprevista, la stessa ne darà tempestiva comunicazione all’Utente.

La Guida può decidere se suddividere il prezzo in Deposito (il cui importo è definito dalla Guida stessa) e Saldo restante o se esigere il pagamento del Prezzo completo. 

Nel caso del pagamento del Deposito, l’Utente riceverà, all’indirizzo email inserito in fase di prenotazione, una email di conferma del pagamento del Deposito e successivamente riceverà una email con il link contenente le istruzioni per il versamento saldo restante, che dovrà essere corrisposto entro la data indicata sull’email stessa e comunque entro la data di inizio dell’Esperienza.

Nel caso del pagamento del Prezzo intero, l’Utente riceverà, all’indirizzo email inserito in fase di prenotazione, una email di conferma del pagamento del Prezzo intero.

L’Utente acconsente a che tali conferme gli vengano comunicate tramite l’indirizzo e-mail fornito, affinché ne possa conservare una copia su un supporto durevole.

Le informazioni relative ai metodi di pagamento accettati sono rese disponibili durante il processo di prenotazione e acquisto.

Alcuni metodi di pagamento possono essere disponibili solo a condizioni o tariffe aggiuntive. In questi casi le informazioni relative possono essere trovate nella sezione dedicata della Piattaforma BMS.

Tutti i pagamenti online vengono elaborati in modo indipendente attraverso servizi di terze parti. Pertanto, la Piattaforma BMS non raccoglie alcuna informazione sul pagamento - quali, a titolo esemplificativo, i dettagli della carta di credito – ma la Guida riceve una notifica solo dopo che il pagamento è stato completato con successo.

Per il pagamento da effettuarsi mediante carta di credito o di debito, l’Utente potrà fruire del circuito di pagamento Stripe; la sicurezza dei pagamenti tramite Stripe è garantita da un protocollo di trasporto criptato SSL3 con chiave simmetrica a 128 bit (attualmente lo standard di sicurezza più elevato con la certificazione lato server).

L’Utente avrà altresì la possibilità di attuare il pagamento dell’Esperienza tramite bonifico bancario (addebito diretto SEPA), previa richiesta specifica al riguardo da parte dell’Utente. Anche in detto caso, i dati bancari saranno gestiti e garantiti dalla società Stripe. L’Utente potrà effettuare il pagamento anche in contanti il giorno stesso dell’Esperienza qualora la Guida abbia indicato questa possibilità all’interno del Link di prenotazione. 

In caso di produzione e inoltro della documentazione fiscale e contabile (ivi incluse quietanze, ricevute, fatture ed ogni altro documento equipollente, comunque denominato). La Guida utilizzerà solo ed esclusivamente i dati forniti dall’Utente al momento della registrazione. L’Utente si impegna a fornire informazioni corrette, valide ed aggiornate e si impegna altresì a non fornire alcuna informazione errata o falsa. Mapo Tapo e le Guide non potranno in alcun caso essere ritenute responsabili dell’erroneità o della falsità, incolpevole, colpevole o dolosa, delle informazioni comunicate dagli Utenti. Questi ultimi si impegnano a manlevare e tenere indenne Mapo Tapo e le Guide da ogni danno e/o responsabilità derivanti, direttamente o indirettamente, dall’utilizzo di dati forniti dagli Utenti sressi e rivelatisi errati o falsi.

9. Tasse, Licenze e Certificazioni

Mapo Tapo e le Guide non pagano tasse per conto degli Utenti. Gli Utenti sono gli unici responsabili di eventuali Imposte ad essi relative e derivanti da qualsiasi Contratto intercorso.

A seconda delle circostanze, tra cui il numero di transazioni condotte e l'oggetto della transazione, la legge può richiedere licenze o certificazioni. Mapo Tapo e le Guide non sono responsabili per ciò che concerne la determinazione delle casistiche in cui è necessario essere in possesso di una licenza e/o di un certificato per l'uso dei Servizi o della Piattaforma BMS, ovvero per lo svolgimento di una transazione attraverso la Piattaforma BMS.

10. Responsabilità delle Guide 

10.1 Esclusione di garanzie

L'Utente accetta che l'uso della Piattaforma BMS e del Servizio da esso offerto è interamente a proprio rischio e responsabilità. La Piattaforma BMS e il Servizio da essa erogato sono forniti "come sono" e "come disponibili", senza garanzie e/o responsabilità di alcun tipo. Tutte le garanzie esplicite ed implicite, incluse, senza limitazioni, le garanzie di commerciabilità e idoneità per uno scopo particolare sono espressamente escluse nella misura massima consentita dalla legge, e nella stessa misura, le Guide declinano ogni garanzia per la sicurezza, l'affidabilità, la tempestività, la precisione e le prestazioni della Piattaforma BMS.

Nella misura massima consentita dalla legge, le Guide e Mapo Tapo declinano ogni garanzia per altri servizi o beni ricevuti tramite o pubblicizzati sulla Piattaforma BMS.

Nella misura massima consentita dalla legge, le Guide e Mapo Tapo declinano ogni responsabilità in merito alla trasmissione di virus informatici o altri componenti dannosi in relazione alla Piattaforma BMS o al Servizio.

10.2 Limitazioni di responsabilità

In nessun caso le Guide e Mapo Tapo potranno essere ritenute responsabili per danni a terzi o alle parti contraenti risultanti, direttamente o indirettamente, dall'uso della Piattaforma BMS o del Servizio, o risultanti da qualsiasi contratto intervenuto tra l’Utente e terzi. Tale esclusione di responsabilità riguarda, tra gli altri, danni diretti, indiretti, accidentali, speciali, esemplari e consequenziali, inclusi: perdita di profitti, perdita di dati o perdita di avviamento; danni informatici; costo di prodotti o servizi sostitutivi; qualunque danno connesso a lesioni personali o fisiche.

Tale limitazione di responsabilità si intende estesa anche ai casi in cui le Guide e Mapo Tapo siano informate della possibilità di tali danni.

I danni a cui la limitazione di responsabilità si riferisce possono derivare: dall'uso o abuso del Servizio, dalla impossibilità di utilizzare la Piattaforma BMS o il Servizio o da interruzione, sospensione, modifica, alterazione, o cessazione della Piattaforma BMS o del Servizio.

Tale limitazione si applica anche in relazione ai danni subiti a causa di altri servizi o prodotti ricevuti attraverso pubblicità o in connessione con la Piattaforma BMS o il Servizio o qualsiasi link sulla Piattaforma BMS, nonché a causa di informazioni o consigli ricevuti tramite o pubblicizzati in connessione con la Piattaforma BMS o il Servizio o qualsiasi link sulla Piattaforma BMS. Tali limitazioni si applicano nella misura massima consentita dalla legge.

11. Sicurezza e feedback degli Utenti

Mapo Tapo e le Guide non sono tenute a verificare l'esatta identità dei propri Utenti né possono confermare l'identità di ciascun Utente.

12. Contenuti pubblicati su o tramite la Piattaforma BMS

12.1 Contenuti Provenienti dagli Utenti

Tutti i Contenuti pubblicati dall’Utente sulla Piattaforma BMS sono di esclusiva responsabilità dell'Utente da cui tali Contenuti provengono. L'Utente è il solo responsabile per qualsiasi Contenuto pubblicato, e-mail o materiale altrimenti reso disponibile tramite la Piattaforma BMS. 

12.2 Link ad altri siti web

Il Sito e i Servizi potrebbero contenere link a siti web o risorse di terze parti. Mapo Tapo non è responsabile per: (i) la disponibilità o l'accuratezza di tali siti web o risorse; o (ii) i Contenuti, i prodotti, o i Servizi su o disponibili da tali siti web o risorse. I link a tali siti web o risorse non implicano alcun sostegno da parte di Mapo Tapo a detti siti web o risorse o ai Contenuti, prodotti o servizi disponibili da tali siti web o risorse. L'Utente si assume l'esclusiva responsabilità e si assume tutti i rischi che derivano dal proprio uso di tali siti web o risorse o dai Contenuti, prodotti o Servizi su o disponibili da tali siti web o risorse.

Mapo Tapo non è inoltre responsabile per le politiche di riservatezza o pratiche adottate su altri siti web. Quando un Utente della Piattaforma BMS clicca su un collegamento che indirizza ad un altro Sito, l’Utente è responsabile per la lettura delle politiche di riservatezza di detto Sito.

12.3 Autorizzazione dell'Utente

Fermo quanto sopra, gli Utenti autorizzano irrevocabilmente le Guide, e/o gli altri Utenti ai quali Mapo Tapo ne conceda facoltà, ad utilizzare i Contenuti ed ogni loro parte od elemento, senza restrizione alcuna, in tutto il mondo, in perpetuo e comunque per tutta la durata della protezione legale quale sancita in ogni paese del mondo.

A titolo esemplificativo ma non esaustivo, nella suddetta autorizzazione s'intende anche ricompreso il diritto di:

- pubblicare, diffondere, comunicare al pubblico e mettere a disposizione del pubblico in modo che ciascuno possa avervi accesso nel momento e nel luogo scelto individualmente, in tutto o      anche solo in parte, con ogni mezzo e/o tecnologia e con qualsiasi modalità (anche interattiva), attualmente noti e/o sviluppati in futuro, i Contenuti attraverso la Piattaforma BMS;

- ai fini di quanto sopra, riprodurre e modificare i Contenuti in ogni modo o forma per rispettare i vincoli tecnologici imposti dalle modalità di funzionamento della Piattaforma BMS;

- autorizzare gli altri Utenti della Piattaforma BMS a riprodurre i Contenuti al fine di visualizzarli sui loro terminali utilizzando i Servizi ed il Sito.

I diritti di cui sopra si intendono concessi in via non esclusiva e pertanto l'Utente resta legittimato ad utilizzare gli stessi Contenuti in ogni forma e modo. 

12.4 Dichiarazione dell'Utente

L’Utente dichiara di disporre pienamente e legittimamente di tutti i diritti relativi ai Contenuti (a titolo esemplificativo ma non esaustivo: diritti d'autore, diritti di immagine e/o della personalità in genere, diritti di marchio ed altri diritti di privativa, diritti di tutela della riservatezza, diritti relativi al ritratto ecc.) che procede a pubblicare sulla Piattaforma BMS.

L'Utente dichiara espressamente che laddove egli non sia pienamente titolare dei diritti sui Contenuti che procede a pubblicare, è stato espressamente autorizzato a disporre dei Contenuti dai terzi titolari di tali diritti ed è dunque pienamente legittimato a rilasciare l'autorizzazione ad usare i Contenuti con l'ampiezza prevista nelle presenti Condizioni.

L'Utente si impegna a non pubblicare qualsiasi Contenuto se tale Contenuto e/o il suo utilizzo:

- è falso, osceno, pornografico, diffamatorio, od include informazioni razziste, violente, offensive, moleste, od istiga a commettere reati o è comunque illegale in Italia o nel luogo in cui l'Utente usa i Servizi od il Sito od in base ad altre leggi comunque applicabili;

- viola le norme in materia di trattamento dei dati personali o in materia di tutela del segreto industriale e delle informazioni riservate;

- presuppone il possesso in capo all'Utente di autorizzazioni, diritti o requisiti richiesti dalla legge di cui questi non dispone;

- viola brevetti, marchi, diritti d'autore od altro diritto di terzi;

- contiene virus informatici o qualsiasi programma o software progettato per interrompere, distruggere, danneggiare od anche solo limitare le funzionalità di qualsiasi software, hardware od apparato di rete o dei Servizi o del Sito stessi;

- sia in qualunque modo dannoso per Mapo Tapo, per gli Utenti o per i terzi.

L'Utente garantisce la buona qualità dei Contenuti che procede a pubblicare e l'adeguatezza degli stessi all'uso al quale sono destinati.

13 Modifiche

Mapo Tapo si riserva il diritto, a sua sola discrezione, di modificare la Piattaforma BMS o i Servizi, ovvero di modificare queste Condizioni di Utilizzo dandone adeguato preavviso almeno 15 (quindici) giorni prima tramite la Piattaforma BMS. Sarà aggiornata anche la "Data ultimo aggiornamento" in calce alle presenti Condizioni. Se successivamente alla comunicazione di futura modifica e durante il tempo precedente all’effettiva applicazione delle modifiche, l’Utente continua ad accedere o ad utilizzare la Piattaforma o i Servizi, si riterrà che l'Utente abbia accettato tali Condizioni così come modificate. 

14.Diritti di proprietà intellettuale ed industriale

Fatte salve le disposizioni contenute sulla Informativa per la Privacy di Mapo Tapo, qualsiasi Contenuto trasmesso alla Piattaforma BMS dagli Utenti, sia per posta elettronica o con altri mezzi, per qualsiasi motivo, sarà trattato come non confidenziale e non di proprietà. Nel caso in cui gli utenti detengano tutti i diritti di tali comunicazioni o Contenuti, essi concedono esplicitamente a Mapo Tapo e ai suoi concessionari designati una licenza non esclusiva, con il diritto perpetuo, e in tutto il mondo, di copiare, distribuire, visualizzare, eseguire, pubblicare, tradurre, adattare, modificare, e o utilizzare tale materiale per qualsiasi scopo, indipendentemente dalla forma o mezzo (ora noto o attualmente non noto) in cui viene utilizzato.

Si prega di non pubblicare sulla Piattaforma BMS informazioni riservate o tutelate come diritti di proprietà intellettuale o industriale, a meno che non sia stato concordato diversamente per iscritto.

15. Gestione Reclami

Mapo Tapo non è responsabile per i rapporti instauratosi tra le Guide e gli Utenti.

Le Guide si obbligano a comunicare all’interno del Link di prenotazione generato e inviato agli Utenti, i termini e le condizioni applicati in merito alla gestione di eventuali reclami e rimborsi. Si precisa al riguardo che la regolamentazione della gestione di eventuali reclami e rimborsi è totalmente demandata ad ogni Guida, con esclusione di qualsiasi tipo di correlazione e/o responsabilità da parte di Mapo Tapo.

16. Manleva

L'Utente della piattaforma BMS si impegna a liberare, difendere, manlevare e tenere Mapo Tapo e /o le Guide, e i loro funzionari, direttori, dipendenti e agenti indenni da e contro qualsiasi pretesa, responsabilità, danni, perdite e spese, inclusi, senza limitazione, ragionevoli onorari legali e contabili, derivanti da, o in qualsiasi modo correlati a:

- l'accesso o l'utilizzo della Piattaforma BMS, dei Servizi o dei Contenuti da parte loro o la violazione delle presenti Condizioni di Utilizzo da parte degli Utenti stessi;

- i Contenuti elaborati, trasmessi, copiati, inviati, messi a disposizione dagli Utenti stessi;

- qualsiasi delle seguenti azioni svolte dall’Utente stesso:

    - l'interazione con qualunque Utente;

    - la richiesta di un Servizio.

Mapo Tapo e/o le Guide si riservano il diritto, a loro esclusiva discrezione, di organizzare la difesa con un difensore di propria scelta, contro tutte le rivendicazioni legali, cause legali o di altra natura che richiedono una compensazione finanziaria poste in essere da parte dell'Utente, senza che l'Utente possa eccepire alcunché.

In aggiunta, al momento dell’ acquisto dell’Esperienza tramite il Link di prenotazione, l’Utente specificamente manleva la Guida e Mapo Tapo per eventuali  danni, diretti e indiretti, fisici e/o psichici, che possano derivare dall’ Esperienza e che non siano stati causati direttamente da dolo e/o colpa grave della Guida o di Mapo Tapo.

17. Relazione tra le parti

Mapo Tapo, le Guide e gli Utenti sono parti indipendenti, ognuno dei quali agisce in suo nome e per i propri scopi. Le presenti Condizioni d'Uso non creano alcun vincolo di subordinazione, di agenzia, rappresentanza, associazione, intermediazione, partnership, rapporto di lavoro o di franchising tra Mapo Tapo e qualsiasi Utente del Sito. 

Nessuna delle clausole contenute nelle Condizioni d'Uso, ovvero nelle policy di Mapo Tapo, ovvero di qualsivoglia altro materiale può essere considerato inteso a costituire, creare, dare effetto o comunque riconoscere una società, un'agenzia, una joint venture ovvero una entità di business formale di qualsiasi tipo, ovvero a creare un rapporto fiduciario tra le parti. 

I diritti e gli obblighi delle parti devono essere limitati a quelli espressamente indicati nel presente documento.

18. Legge applicabile e foro competente

Le presenti Condizioni di Utilizzo sono regolate e interpretate in conformità con le leggi della Repubblica Italiana.

Tutte le controversie per quanto riguarda la validità, interpretazione o esecuzione delle presenti Condizioni Generali d'Uso saranno rimesse alla competenza esclusiva del Tribunale di Milano.

19. Condizioni aggiuntive

Le Guide non sono responsabili per i rapporti creatisi tra gli Utenti.

Le rubriche delle clausole delle Condizioni d'uso hanno funzione descrittiva e non ne influenzano l’interpretazione.

L'Utente accetta che i diritti e gli obblighi dei Contenuti nelle presenti Condizioni di Utilizzo nonché gli eventuali altri documenti che sono incorporati in esse per mezzo di riferimento, possono essere liberamente e legittimamente trasferiti dalle Guide a terze parti nel caso di fusione o acquisizione o di altro evento.

In ogni caso, tramite la Piattaforma BMS, gli Utenti si impegnano a rispettare tutte le leggi nazionali e internazionali e tutti i regolamenti attualmente in vigore per l'utilizzo dei Servizi di Mapo Tapo in relazione alle attività svolte sulla Piattaforma BMS dagli Utenti stessi. Nessuna deroga alle presenti Condizioni di Utilizzo sarà concessa, senza l'autorizzazione scritta ottenuta ed un nuovo contratto firmato tra Mapo Tapo, le Guide e l'Utente.

Tutte le comunicazioni all'attenzione degli Utenti saranno inviate all'indirizzo e-mail fornito al momento della prenotazione e dell’acquisto sulla Piattaforma BMS. I messaggi e le notifiche sono considerate ricevute 24 ore dopo l'invio dell'e-mail, a meno che non sia stata ricevuta una notifica che indichi che l'indirizzo e-mail non sia valido o non funzionante.

TERMS AND  CONDITIONS (online)

The BMS Platform is the exclusive property of Mapo Tapo S.r.l., having its registered office in Milan, 20123, Via Borromei 2, P.IVA 11336700965 (hereinafter, Mapo Tapo). The Terms of Use should be considered in conjunction with the Privacy Policy.

The BMS Platform provides an online space available to the Guides that can be reached at the domain name https://app.mapotapo.com and any sub-domains. These Terms and Conditions (hereinafter, T&Cs or Terms & Conditions), define the Service offered by the Guides for the booking of outdoor sports tours (such as climbing, mountain biking, hiking, hereinafter, Experience) to users, as defined below.

In the event of disagreement with any of the terms or conditions or subsequent changes thereto, or in the event of dissatisfaction with the Services offered by the Guides, the User (as described below) is entitled, respectively, not to accept these Terms of Use and to cease using the Services offered by the Platform or to immediately stop using the Mapo Tapo Platform.

1. Definitions

Content:(i) files containing text, images, audio and/or video recordings, data and/or information organised in databases and in any case all files, documents and/or information in any format relating to the User and that the Guides make available through the BMS Platform or the Services, including any Content licensed by a third party; (ii) files and/or links containing text, images, audio and/or video recordings, data and/or information organised in databases and in any case all files, documents and/or information in any format are transmitted, copied, sent, made available to Users of the BMS Platform and the Services. This definition includes, in particular, all images, videos and digital material of any kind that represent and/or reproduce the User during the Experience and the performance of the activities therein.

Terms and Conditions: the provisions of this document.

Personal Data: all personal information relating to each User, including the person's name, address, telephone number and social security number, as may be collected through the BMS Platform.

Price: sum paid by the User to Guides for the purchase of the Experience.

Deposit: amount required by the Guides to book the Experience, if the Guides opt for payment in instalments.

Remaining balance: amount remaining after payment of the Deposit

BMS platform: the domain https://app.mapotapo.com, including any subdomains, any URLs or portions thereof.

User: all natural or legal persons accessing the BMS Platform.

Experience: an activity organised by the Guides and made available through the Mapo Tapo BMS Platform, including only the activities managed by the Guide and without any additional elements (e.g. accommodation, meals, transport) as described in the Link generated and sent by the Guide to the User.

Trip: a trip organised by the Guides with the technical direction of Mapo Tapo and made available (ex Art. 33 and 34, D. lds. 23 May 2011, n.79) on the website www.mapotapo.com, from which the User may purchase the proposal offered. The User will therefore be subject Terms and Conditions of the website www.mapotapo.com available at the following address https://www.mapotapo.com/terms-and-conditions-of-use.

Booking link: link generated by the Guide via the BMS Platform and sent by the Guide to the User for booking and payment of the Experience.

Guide: any professional person, in possession of certification qualifying him/her for the profession of guide, who offers experiences for sale in a direct manner.

Service: the activity performed by Mapo Tapo's BMS Platform through which Guides are allowed to create and sell Experiences to Users. The Service consists solely in the provision of technology (i.e., the BMS Platform) and in no case may it be traced back to the intermediation of tourist packages and/or Experiences pursuant to Legislative Decree no. 79 of 2011.

1.2 Depending on the context, the meaning of a term used in the singular includes the plural, that of a term used in the masculine includes the feminine, and vice versa.

2. Description of the Platform

2.1 The BMS Platform is a Service offered by Mapo Tapo with the purpose of allowing Guides to create and disseminate their own Experiences. By means of the Booking Link, Users have the possibility to learn about, book and purchase the Experiences made available by the Guides, both in Italy and abroad, for recreational and sporting activities such as, for example, hiking or climbing. Users may book the Experiences by conferring their identification and billing data through the Link. It is understood that both Mapo Tapo and the Guides have no control over the conduct of Users in relation to the Booking Link and therefore Mapo Tapo and the Guides have no liability in this respect to the maximum extent permitted by law.

3. Privacy

You acknowledge that you have read the Mapo Tapo BMS Platform Privacy Policy, available at www.mapotapo.com/privacy-policy-BMS-Platform as amended from time to time; this Privacy Policy governs Mapo Tapo's collection and use of Personal Data of Guides and Users.

4. Rights and Duties of Users

It is the User's responsibility to ensure that the information and documentation provided at the time of booking through the Link provided by the Guide is, from time to time, up to date, not out of date and in any case suitable for the purposes of booking the Experience. If you are prevented from taking part in the Experience due to the lack, even in part, and/or unsuitability of such documentation, the Guide and Mapo Tapo shall not be liable for any such lack of documentation and shall not be obliged to refund the Price or provide compensation for any reason whatsoever.

When filling in the forms provided in the Booking Link sent to the User, the latter will also indicate an e-mail address and a telephone number that will enable the User to be identified as the person to whom the activity or services he or she intends to make use of are referred.

The User agrees not to provide any incorrect or false information. In any case, Mapo Tapo and/or the Guides shall not be held liable for the incorrectness or falsity, whether culpable or intentional, of the information provided by Users. 

4.1 The User is obliged to comply with these CUs, with any warnings and documents stated and uploaded on the pages of the BMS Platform and on any sites mentioned within the Link and any other obligations arising from the regulations in force, as well as to maintain at all times a careful and responsible conduct particularly with regard to the practice of dangerous sports.

4.2 By accepting these Terms and Conditions you also agree that any claims or requests for reimbursement for Experiences will be handled exclusively by the Guide according to the Terms and Conditions directly commnicated by the Guides in the Booking list thus excluding any kind of liability or involvement on the part of Mapo Tapo.

5. Reservations

Upon receipt of the Booking Link, the User can proceed to the reservation and purchase of the Experience by entering the required data and choosing the payment method (credit or debit card, bank transfer (SEPA debit), cash) from those proposed by the Guide and according to the terms defined by the Guide (payment of the full Price or Deposit).

Users may also enter the data   of   other   participants   in   the   Experience   in the form at the Booking Link. Users declare that they are authorised to enter the data of other     participants     and     are     responsible      for     the      information     entered. The User and any additional participants whose details are entered by the User will receive a booking confirmation email containing the essential details of the Experience booked and a Link to view the details of the Experience. It is understood that until such time as the User receives such confirmation email, the Guide and Mapo Tapo shall in no way be held liable for any costs incurred by the User.

The User has the possibility to book only one Experience at a time offered through the BMS Platform. Therefore, given the nature of the Experience(s), it will not be possible to make a single Reservation involving several Experiences. It is also understood that a single Experience may not constitute a "package".

Prior to purchasing the Experience, the User is obliged to confirm that he or she has read this CU and the Privacy Policy of the BMS Platform, which he or she explicitly declares to approve.

It is also understood that, in view of the epidemiological situation related to Covid, the Guide reserves the right to request any fulfilment required by developments in current legislation.

Before the User completes the booking process and is consequently bound, he/she will receive all necessary information relating to the Experience by being able to interface with the Guide whose contact details he/she receives by telephone and e-mail in the Booking Link.

The Guide has in any case the right to confirm or not the Experience within the timeframe defined by the Guide; in case of cancellation of the Experience, the Guide will send an email to the User and any other participants via the BMS Platform. The email will contain the Guide's contact details to which to refer for possible reimbursement.

It is understood that the booking of Trips organised by the Guides under the technical direction of Mapo Tapo takes place on the Mapo Tapo website at https://www.mapotapo.com and is subject to the following Terms and Conditions https://www.mapotapo.com/terms-and-conditions-of-use).

6. Withdrawal

In accordance with Directive 2011/83/EU and Article 52 of Legislative Decree 2005, no. 206 (hereinafter, the Consumer Code), the User who purchases a product or service at a distance and away from the business premises of the trader, has the right to withdraw within 14 days from the conclusion of the contract and receive a full refund. However, since the relationship established between the Users and the Guides falls within the scope of application of the regulations concerning the Tourism Code, this circumstance constitutes a hypothesis of exclusion of application of the right of withdrawal as provided for under Article 47, co 1 lett. g) of the Consumer Code.

In the event of cancellation of the booking by the User, any reimbursement due from the User to the Guide for expenses incurred and reimbursement to the User for the unused Experience shall be governed directly by agreements between the Guide and the User.

7. The Service

Mapo Tapo provides the Guides with the BMS Platform service through which they can offer the User experiences via Booking links that can also be addressed to the individual user. The Booking link has a determined duration depending on the start date of the Experience and/or the reaching of the maximum number of available seats.

It is understood that Mapo Tapo makes the BMS Platform available to the Guides for the sole purpose of informing and communicating to Users the Experiences organised and made available by the Guides, who therefore remain the only party in the relationship concluded with the Travelling User.

It is understood that the Guides have the health and safety of their Users at heart. Therefore, every Experience made available on the BMS Platform is organised with the utmost respect for safety regulations.

Every aspect of the relationship between the User and the Guide is solely attributable to the latter and Mapo Tapo is totally exonerated from any kind of burden and liability of any kind towards the User.

Mapo Tapo is therefore extraneous to the relationship established between the User, the Guide and the operators and/or local managers of the Experience or any part thereof. Accordingly, Mapo Tapo disclaims all liability, to the fullest extent permitted by law, for damages and injuries of any kind and entity that may occur to one or more Users and their travelling companions for any reason whatsoever, whether or not related to the enjoyment of the Experience. On such occasions, therefore, the User shall be entitled to refer only to the Guide and/or local managers, as the case may be.

8. Payments

Mapo Tapo provides the Guides with the BMS Platform, through which the User can learn about and, if applicable, receive the Link to book and purchase an Experience organised by the Guide at the pre-established Price. Therefore, the User does not have the possibility to customise his/her Experience and determine its Price accordingly. It is understood that the Guide will display the Price of each Experience on the Platform in a clear and precise manner, keeping it up-to-date at all times and indicating all specifications.

The Price is indicated in the Booking Link in relation to each Experience and at check-out during the purchase of the Experience. Should the Price undergo an unforeseen change, the User will be promptly notified thereof.

The Guide may decide whether to divide the price into Deposit (the amount of which is defined by the Guide) and Remaining Balance or whether to require payment of the full Price.

In the case of payment of the Deposit, the User will receive, at the email address entered at the time of booking, an email confirming payment of the Deposit and will subsequently receive an email with a link containing instructions for the payment of the remaining balance, which must be paid by the date indicated on the email and in any case by the start date of the Experience.

In the case of payment of the Full Price, the User will receive an email confirming payment of the Full Price at the email address entered when making the reservation.

The User consents to such confirmations being communicated to him via the e-mail address provided, so that he can keep a copy on a durable medium.

Information on accepted payment methods is made available during the booking and purchasing process.

Some payment methods may only be available subject to additional conditions or fees. In these cases, the relevant information can be found in the dedicated section of the BMS Platform.

All online payments are processed independently through third-party services. Therefore, the BMS Platform does not collect any payment information - such as for example credit card details - but the Help only receives a notification after the payment has been successfully completed.

For payment by credit or debit card, the User may use the Stripe payment circuit; the security of payments via Stripe is guaranteed by an encrypted SSL3 transport protocol with a 128-bit symmetric key (currently the highest security standard with server-side certification).

The User shall also have the option of implementing the payment of the Experience by bank transfer (SEPA direct debit), upon specific request in this regard by the User. Also in this case, the bank details will be managed and guaranteed by the Stripe company.

The User may also make payment in cash on the day of the Experience if the Guide has indicated this possibility within the Booking Link.

When producing and forwarding tax and accounting documents (including receipts, receipts, invoices and any other equivalent document, however named). The Guide shall use only and exclusively the data provided by the User at the time of registration. The User undertakes to provide correct, valid and up-to-date information and also undertakes not to provide any incorrect or false information. Mapo Tapo and the Guides shall in no event be held liable for the incorrectness or falsity, whether culpable or intentional, of the information provided by Users. Users undertake to indemnify and hold harmless Mapo Tapo and the Guides from any damage and/or liability arising, directly or indirectly, from the use of information provided by Users that turns out to be incorrect or false.

9. Fees, Licences and Certifications

Mapo Tapo and the Guides do not pay Taxes on behalf of Users. Users are solely responsible for any Taxes related to them and arising from any Contract entered into.

Depending on the circumstances, including the number of transactions conducted and the subject matter of the transaction, licences or certifications may be required by law. Mapo Tapo and the Guides are not responsible for determining when a licence and/or certificate is required to use the Services or the Platform, or to conduct a transaction through the Platform.

10. Responsibilities of the Guide

10.1 Exclusion of guarantees

The User accepts that the use of the BMS Platform and the Service provided by it is entirely at their own risk and responsibility. The BMS Platform and the Service provided by it are provided on an "as is" and "as available" basis, without warranty and/or liability of any kind. All express and implied warranties, including, without limitation, warranties of merchantability and fitness for a particular purpose are expressly excluded to the fullest extent permitted by law, and to the same extent, the Guides disclaim all warranties for the safety, reliability, timeliness, accuracy and performance of the BMS Platform.

To the fullest extent permitted by law, the Guides and Mapo Tapo  disclaim any warranty for other services or goods received through or advertised on the BMS Platform.

To the fullest extent permitted by law, the Guides and Mapo Tapo disclaim any liability for the transmission of computer viruses or other harmful components in connection with the BMS Platform or the Service.

10.2 Limitations of Liability

In no event shall the Guides and Mapo Tapo be held liable for damages to third parties or contracting parties resulting, directly or indirectly, from the use of the BMS Platform or the Service, or resulting from any contract between the User and third parties. This exclusion of liability covers, among others, direct, indirect, incidental, special, exemplary and consequential damages, including: loss of profits, loss of data or loss of goodwill; computer damage; cost of substitute products or services; any damages related to personal or bodily injury.

This limitation of liability shall also extend to cases in which the Guides and Mapo Tapo are informed of the possibility of such damage.

The damages to which the limitation of liability relates may result from: the use or misuse of the Service, the inability to use the BMS Platform or the Service, or the interruption, suspension, modification, alteration, or termination of the BMS Platform or the Service.

This limitation shall also apply in relation to damages suffered due to other services or products received through advertising or in connection with the BMS Platform or the Service or any link on the BMS Platform, as well as due to information or advice received through or advertised in connection with the BMS Platform or the Service or any link on the BMS Platform. These limitations shall apply to the maximum extent permitted by law.

11. Security and User Feedback

Mapo Tapo and the Guides are not required to verify the exact identity of its Users nor can they confirm the identity of each User.

12. Content published on or via the BMS Platform

12.1 User-Contributed Content

All Content posted by the User on the BMS Platform is the sole responsibility of the User from whom such Content originates. The User is solely responsible for any Content posted, emails or material otherwise made available via the BMS Platform

12.2 Links to other websites

The Site and Services may contain links to third-party websites or resources. Mapo Tapo is not responsible for: (i) the availability or accuracy of such websites or resources; or (ii) the Content, products, or Services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Mapo Tapo of such websites or resources or the Content, products, or Services available from such websites or resources. You assume sole responsibility and assume all risks arising from your use of such websites or resources or the Content, products or Services on or available from such websites or resources.

Mapo Tapo is also not responsible for the privacy policies or practices of other websites. When a User of the BMS Platform clicks on a link to another Site, the User is responsible for reading the privacy policies of that Site.

12.3 Authorisation of the User

Notwithstanding the foregoing, Users irrevocably authorise the Guides, and/or other Users to whom Mapo Tapo grants such authorisation, to use the Content and any part or element thereof, without any restriction whatsoever, throughout the world, in perpetuity and for the duration of the legal protection as provided in any country in the world.

By way of example but not limited to, this authorisation also includes the right to:

- publish, disseminate, communicate to the public and make available to the public in such a way that everyone may have access to it at a time and place individually chosen, in whole or in part, by any means and/or technology and in any manner (including interactive), currently known and/or developed in the future, the Content through the BMS Platform;

- for the purposes of the foregoing, reproduce and modify the Content in any way or form to comply with the technological constraints imposed by the way the BMS Platform operates;

- authorise other Users of the BMS Platform to reproduce the Content in order to display it on their terminals using the Services and the Site.

The above-mentioned rights shall be deemed to be granted on a non-exclusive basis and the User shall therefore remain entitled to use the same Content in any form and manner.

12.4 User Declaration

The User declares that he or she fully and legitimately disposes of all rights relating to the Content (by way of example but not limited to: copyrights, image and/or personality rights in general, trademark rights and other private rights, rights of confidentiality protection, portrait rights, etc.) that he or she proceeds to publish on the BMS Platform.

The User expressly declares that where he/she is not the full owner of the rights to the Content that he/she proceeds to publish, he/she has been expressly authorised to dispose of the Content by the third party owner of such rights and is therefore fully entitled to grant authorisation to use the Content to the extent provided for in these Terms.

The User agrees not to publish any Content if such Content and/or its use:

- is untrue, obscene, pornographic, defamatory, or includes racist, violent, offensive, harassing information, or incites the commission of crimes or is otherwise illegal in Italy or in the place where the User uses the Services or the Site or under any other applicable law;

- violates rules on the processing of personal data or on the protection of business secrets and confidential information;

- presupposes the possession by the User of authorisations, rights or requirements required by law that the latter does not possess;

- infringes patents, trademarks, copyrights or other rights of third parties;

- contains computer viruses or any program or software designed to interrupt, destroy, damage or even limit the functionality of any software, hardware or network equipment or the Services or the Site itself;

- is in any way harmful to Mapo Tapo, Users or third parties.

The User guarantees the good quality of the Content he or she posts and its suitability for the use for which it is intended.

13. Amendments

Mapo Tapo reserves the right, at its sole discretion, to modify the BMS Platform or the Services, or to modify these Terms of Use by giving adequate notice at least 15 days in advance via the Platform. The "Last Updated Date" at the bottom of these Terms and Conditions will also be updated. If after the notice of future modification and during the time prior to the effective application of the modifications, the User continues to access or use the Platform or Services, the User will be deemed to have accepted these Terms and Conditions as modified. 

14. Intellectual and Industrial Property Rights

Subject to the provisions contained in Mapo Tapo's Privacy Policy, any Content transmitted to the BMS Platform by Users, whether by electronic mail or other means, for any reason whatsoever, shall be treated as non-confidential and non-proprietary. Where Users own all rights to such communications or Content, they expressly grant Mapo Tapo and its designated licensors a non-exclusive, perpetual, worldwide licence to copy, distribute, display, perform, publish, translate, adapt, modify, and or use such material for any purpose whatsoever, regardless of the form or medium (whether now known or hereafter unknown) in which it is used.

Please do not publish confidential information or information protected as intellectual or industrial property rights on the BMS Platform, unless otherwise agreed in writing.

15. Complaint Management

Mapo Tapo is not responsible for the relationships established between the Guides and Users.

The Guides undertake to communicate within the Booking Link generated and sent to Users, the terms and conditions applied regarding the management of any complaints and refunds. It is clarified in this regard that the regulation of the management of any complaints and refunds is totally left to each Guide, with the exclusion of any kind of correlation and/or responsibility on the part of Mapo Tapo.

16. Indemnity

The BMS Platform User agrees to release, defend, indemnify and hold Mapo Tapo and/or the Guides, and their officers, directors, employees and agents harmless from and against any and all claims, liabilities, damages, losses and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way related to:

- the access to or use of the BMS Platform, Services or Content by them or the violation of these Terms of Use by them;

- Content processed, transmitted, copied, sent, made available by the Users themselves;

- any of the following actions performed by the User:

        - interaction with any user;

       - the request for a Service;

Mapo Tapo and/or the Guides reserve the right, at their sole discretion, to organise the defence with a solicitor of their own choice, against all legal claims, lawsuits or other causes of action requiring financial compensation brought by the User, without the User having any right to object.

In addition, at the time of purchase of the Experience through the Booking Link, the User specifically indemnifies Guide and Mapo Tapo for any damages, direct and indirect, physical and/or mental, that may result from the Experience and that were not directly caused by the willful misconduct and/or gross negligence of Guide or Mapo Tapo.

17. Relationship between the parties

Mapo Tapo, the Guides and Users are independent parties, each acting on its own behalf and for its own purposes. These Terms of Use do not create any subordination, agency, representation, association, intermediation, partnership, employment or franchise relationship between Mapo Tapo and any User of the Site.

Nothing contained in the Terms of Use, or in Mapo Tapo's policies, or in any other material shall be deemed to constitute, create, give effect to or otherwise recognise a corporation, agency, joint venture or formal business entity of any kind, or to create a fiduciary relationship between the parties.

The rights and obligations of the parties shall be limited to those expressly stated herein.

18. Applicable Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the Italian Republic.

All disputes concerning the validity, interpretation or execution of these Terms and Conditions of Use shall be submitted to the exclusive jurisdiction of the Court of Milan. 

19. Additional Conditions

The Guides are not responsible for the relationships created between Users.

The headings of the clauses of the Terms of Use have a descriptive function and do not affect their interpretation.

The User agrees that the rights and obligations of the Content in these Terms of Use as well as any other documents that are incorporated into them by reference may be freely and lawfully transferred by the Guides to third parties in the event of a merger or acquisition or other event.

In any case, through the BMS Platform, Users agree to comply with all national and international laws and regulations currently in force for the use of Mapo Tapo's Services in connection with the activities performed on the BMS Platform by Users. No waiver of these Terms of Use shall be granted without the written permission obtained and a new agreement signed between Mapo Tapo, the Guides and the User.

All notifications for the attention of Users will be sent to the e-mail address provided at the time of booking and purchase on the BMS Platform. Messages and notifications are deemed to have been received 24 hours after the e-mail was sent, unless a notification is received indicating that the e-mail address is invalid or not working.
